Terms of Service for Margaret, Powered by Hudson Ferris

These Terms of Service (“Terms”) govern your use of Margaret, a subscription-based fundraising help desk powered by Hudson Ferris. By subscribing to Margaret, you agree to these Terms.

1. Confidentiality

Hudson Ferris is committed to maintaining the confidentiality of all client information shared through Margaret.

1.1 Scope of Confidentiality:
Hudson Ferris will treat any information provided by clients as confidential, using it solely for the purpose of delivering advice and services through Margaret. Client information will not be shared with third parties without the client’s explicit consent, except as required by law.

1.2 Data Security:
Hudson Ferris implements industry-standard measures to protect client information from unauthorized access, disclosure, or misuse. However, Hudson Ferris cannot guarantee absolute security of digital communications.

2. Indemnification and Limitation of Liability

2.1 Indemnification:
Clients agree to indemnify and hold harmless Hudson Ferris, its officers, employees, and agents from any claims, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Use of Margaret’s advice or services.
• Actions taken based on advice received through Margaret.

2.2 Limitation of Liability:
Hudson Ferris provides advice and guidance through Margaret based on industry best practices and available information. However, Hudson Ferris is not liable for any direct, indirect, incidental, or consequential damages resulting from the use of this service.

• Advice provided through Margaret is informational and not a guarantee of fundraising outcomes.

3. Subscription and Billing

3.1 Monthly Billing:
Clients subscribing to Margaret will be billed monthly in advance. Payment is due on the first day of each billing cycle. Subscriptions will automatically renew unless canceled.

3.2 Cancellation Policy:
Clients wishing to cancel their subscription must do so at least 24 hours before the start of the next billing cycle to avoid being charged for the following month.

• Cancellations can be processed through the Margaret client portal or by contacting [support email].
• No refunds will be issued for partial months of service.

4. Use of Service

4.1 Permitted Use:
Margaret is intended solely for professional fundraising guidance. Clients must not misuse the service, including but not limited to unauthorized sharing of advice, spamming, or providing false information.

4.2 Termination of Service:
Hudson Ferris reserves the right to terminate access to Margaret for clients who violate these Terms.

5. Modifications to Terms

Hudson Ferris may update these Terms at its discretion. Clients will be notified of any material changes at least 30 days before they take effect. Continued use of Margaret after such updates constitutes acceptance of the revised Terms.

6. Governing Law

These Terms are governed by the laws of the State of New York without regard to its conflict of laws principles. Any disputes arising from these Terms shall be resolved in the courts located in New York, NY.

By subscribing to Margaret, you acknowledge that you have read, understood, and agree to these Terms of Service.
